Statute (summary)

Bila Tserkva regional civic organization «People», 2018. Below is an English summary of the registered Charter.

1. Terms

The Organization is a voluntary non-profit association of individuals for the exercise and protection of rights and freedoms and the satisfaction of public interests, created in accordance with the Constitution of Ukraine, the Law of Ukraine “On Public Associations” and other current legislation of Ukraine.

It operates with the status of a legal entity, owns separate property, may acquire property and non-property rights, assume obligations, enter into agreements, be a plaintiff and defendant in court, hold bank accounts, an independent balance sheet, a round seal, stamps, emblems and other symbols. The Organization operates on the territory of Ukraine.

2. Purpose, objectives and rights

The main purpose is to satisfy and protect the legitimate social, creative, economic, scientific and other common interests of its members and other persons. Its main tasks include popularising socio-pedagogical, educational-preventive and legal knowledge; running lectures, cultural and mass events; developing non-formal education technologies; producing training manuals and methodical materials; studying foreign experience; promoting patriotically oriented upbringing; including people with fewer opportunities in active social life; representing members’ interests before state and non-governmental bodies; raising legal awareness; involving members in volunteering, including international projects; running communication and discussion clubs; national-patriotic upbringing and intercultural tolerance; cooperation with state and non-governmental organisations; environmental protection; and building partnerships with foreign and international organisations.

The Organization has the right to freely disseminate information about its activities, address state authorities and local self-government bodies, receive public information, participate in the drafting of regulatory acts, act in civil legal relations, hold peaceful gatherings, run competitions, lectures, seminars, trainings and master classes, distribute literature, create circles, sections and clubs, take part in educational activity and exchange of experience including abroad, and cooperate with other public associations.

4. Rights and obligations of members

Members have the right to participate in all activities of the Organization and in the work of its bodies, to express opinions and make proposals, to receive information about current activities, to ask the Organization for help in protecting their interests, to use the technical base, software and scientific and normative products of the Organization, and to appeal decisions, actions and inaction of the management bodies to the Audit Commission.

5. Governing bodies

General Meeting — members are notified of the meeting, its agenda, date, time and place at least two working days in advance, by an announcement on the official website of the Organization or by email. A meeting is valid if more than 50% of members are present; decisions are taken by simple majority. Approval of the Charter or amendments to it, termination of activities, alienation of 50% or more of the property and liquidation require at least 3/4 of the votes present.

The Board — manages the Organization between General Meetings, sets the place, date and agenda of meetings on the proposal of the Chairman, decides on admission and expulsion of members, resolves all issues outside the exclusive competence of the General Meeting and disposes of the Organization’s property. The Chairman and Board members work on a public basis. The Chairman of the Board is elected from among Board members by the General Meeting for a term of 5 years and represents the Organization without a special mandate.

Audit Commission — monitors compliance with the Charter and implementation of adopted programmes and decisions, issues conclusions on annual reports and balance sheets, considers complaints and may raise the question of convening the General Meeting when essential interests of the Organization are threatened. Board members cannot serve on the Audit Commission.

6. Sources of income and use of property

Income may include membership fees and other receipts not prohibited by the legislation of Ukraine. Expenses for General Meetings, Board meetings, staff and events are determined by the Board. Ownership rights are exercised by the General Meeting. The Organization and legal entities created by it keep operational accounting and statistical reporting and make budget payments as required by law.

7–9. Amendments, transparency and appeals

The Charter is the only statutory document; amendments are adopted by the General Meeting at the request of the Board. Management bodies are obliged to provide minutes of their meetings for perusal at the request of members. Decisions, actions and inaction of the General Meeting may be challenged in court; those of the Board may be appealed to the General Meeting or in court.

10. Separate units

Separate units implement the statutory goals and tasks of the Organization in a particular locality, attract new members by lawful means and represent the Organization in their administrative-territorial unit. The head of a separate unit may use the name and symbols of the Organization, receive assistance from its bodies and officials, attend Board meetings and apply to the management bodies.

11. Termination

Activities may be terminated by decision of the General Meeting through self-dissolution or reorganisation, in accordance with Ukrainian law. The General Meeting creates a liquidation commission and decides on the use of funds and property. In case of termination, assets are transferred to one or more non-profit organisations of the corresponding type or included in budget income.
